Affiliate Terms & Conditions

1. Introduction

These Affiliate Terms and Conditions ("Affiliate Terms") govern your participation in the EC261 Claim affiliate program ("Program"). By applying to or participating in the Program, you agree to be bound by these Affiliate Terms, our Terms of Service, and our Privacy Policy.

2. Program Overview

The EC261 Claim affiliate program allows approved partners ("Affiliates") to earn commissions by referring customers to EC261 Claim. When a referred customer successfully purchases our document preparation service, the referring Affiliate earns a commission.

3. Eligibility and Application

To become an Affiliate, you must:

  • Be at least 18 years of age
  • Submit an application through our affiliate portal
  • Provide accurate and complete information
  • Agree to these Affiliate Terms and our Privacy Policy
  • Receive approval from EC261 Claim

We reserve the right to accept or reject any application at our sole discretion and without stating reasons. We may also terminate any affiliate account at any time for violation of these terms or for any other reason.

4. Commission Structure

Commission Rate: Affiliates earn a fixed commission per successful claim purchase. The current commission rate is displayed in your affiliate dashboard. EC261 Claim reserves the right to change commission rates at any time. Changes to commission rates apply to referrals made after the effective date of the change and will be communicated at least 14 days in advance via email or the affiliate dashboard.

Qualifying Purchases: Commissions are earned only when a referred customer completes a paid purchase of our document preparation service. Referrals of accounts that are exempt from payment (e.g. complimentary or promotional accounts that can file claims without charge) do not qualify for commission.

Cooling-Off Period: Commissions are held for 30 days after the qualifying purchase to account for refunds, chargebacks, and payment disputes. Commissions become final only after this 30-day period has elapsed without a refund or chargeback.

Cookie Duration: Referrals are tracked via a 60-day first-party cookie. If a customer clicks your affiliate link and makes a purchase within 60 days, you will be credited for the referral.

5. Commission Withholding and Clawback

EC261 Claim reserves the right to withhold, delay, or reverse commissions in the following circumstances:

  • Refunds: If a referred customer receives a full or partial refund, the corresponding commission will be reversed
  • Chargebacks: Commissions related to chargebacks or payment disputes will be reversed
  • Fraud: Commissions earned through fraudulent, misleading, or deceptive referrals will be forfeited
  • Terms Violation: Commissions may be withheld if you are found to be in violation of these Affiliate Terms or our Prohibited Activities (Section 8)
  • Suspicious Activity: We may temporarily withhold commissions pending investigation if we detect unusual referral patterns or suspect abuse of the Program
  • Minimum Threshold: Commissions below the minimum payout threshold of EUR 100 will be carried forward to the next payout period

We will make reasonable efforts to notify you of any withheld or reversed commissions and the reasons for doing so.

Set-Off: EC261 Claim may offset any amounts owed by you against outstanding commission payments. This includes reversed commissions, overpayments, or any other debts arising from your participation in the Program.

6. Payment Terms

Payment Schedule: Commission payouts are processed quarterly (every three months) for balances exceeding EUR 100, subject to the 30-day cooling-off period. EC261 Claim reserves the right to modify the payout schedule or minimum threshold with 30 days' prior notice.

Payment Methods: Payments are made via SEPA bank transfer for EU/EEA bank accounts or via Wise for international bank accounts. Any transfer fees for international payments are borne by the Affiliate.

Self-Billing: EC261 Claim operates under a self-billing arrangement. We will issue invoices on your behalf for commission payments. You agree not to issue separate invoices for these transactions and to notify us promptly of any changes to your VAT registration status.

Tax Responsibility: You are responsible for reporting and paying any taxes due on your commission income in accordance with the laws of your jurisdiction.

Payment Accuracy: You must provide and maintain accurate and up-to-date payment details. EC261 Claim is not responsible for failed or misdirected payments due to incorrect information provided by the Affiliate.

7. Affiliate Obligations

As an Affiliate, you agree to:

  • Accurate Representation: Represent EC261 Claim and our services accurately and honestly
  • Disclosure: Clearly disclose your affiliate relationship in accordance with applicable laws and regulations (including FTC guidelines in the US and similar requirements in the EU)
  • Compliance: Comply with all applicable laws, regulations, and advertising standards
  • Brand Guidelines: Use our trademarks, logos, and brand materials only as authorized
  • Prohibited Content: Not associate our brand with illegal, offensive, misleading, or harmful content
  • Independence: Not represent yourself as an employee, agent, or official representative of EC261 Claim. You are an independent partner and have no authority to bind EC261 Claim in any way

8. Prohibited Activities

Affiliates must not:

  • Use spam, unsolicited emails, or other intrusive marketing methods
  • Make false, misleading, or exaggerated claims about EC261 Claim or our services
  • Bid on our brand terms or variations in paid search advertising
  • Use cookie stuffing, forced clicks, browser extensions, or other fraudulent methods to trigger false attribution
  • Create fake accounts or generate fraudulent referrals
  • Impersonate EC261 Claim or claim to be an official representative
  • Use our brand in domain names without written permission
  • Engage in any activity that could damage our reputation
  • Self-refer or refer purchases made by entities you own or control

Violation of any prohibited activity may result in immediate termination of your affiliate account and forfeiture of all unpaid commissions.

9. Intellectual Property

EC261 Claim grants Affiliates a limited, non-exclusive, non-transferable, revocable license to use our trademarks and marketing materials solely for the purpose of promoting our services under this Program. This license does not grant any ownership rights and may be revoked at any time.

10. Confidentiality

You agree to treat all non-public information related to the Program as confidential, including commission rates, program statistics, and internal communications. You may not disclose such information to third parties without our prior written consent. This obligation survives termination of the affiliate relationship.

11. Data Protection

We process your personal data in accordance with our Privacy Policy. You agree to comply with applicable data protection laws, including GDPR, when handling any personal data in connection with your affiliate activities.

12. Indemnification

You agree to indemnify, defend, and hold harmless EC261 Claim, its directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your breach of these Affiliate Terms
  • Your promotional activities and content
  • Any violation of applicable laws or regulations in connection with your affiliate activities
  • Any tax claims or obligations related to your commission income
  • Any privacy or data protection violations attributable to you

13. Inactivity

If your affiliate account generates no qualifying referrals for a consecutive period of 12 months, EC261 Claim may classify your account as inactive. You will be notified and given 3 months to reactivate your account by generating at least one qualifying referral. If no qualifying referral is generated within this 3-month period, your affiliate account may be terminated and any remaining commission balance below the minimum payout threshold will be forfeited.

14. Termination

Without cause: Either party may terminate the affiliate relationship with 14 days' written notice via email.

Immediate termination by EC261 Claim: We may terminate your account immediately and without notice in the event of:

  • Breach of these Affiliate Terms or Prohibited Activities
  • Fraudulent or deceptive conduct
  • Conduct that damages or threatens to damage our reputation
  • Unlawful activity in connection with the Program
  • Bankruptcy, insolvency, or similar proceedings involving you

Upon termination:

  • You must immediately stop using all EC261 Claim trademarks and marketing materials and remove all affiliate links and promotional content within 14 days
  • If termination is without cause, outstanding commissions for legitimate referrals made before termination will be paid according to the normal payment schedule, subject to the 30-day cooling-off period
  • If termination is for cause (breach, fraud, or prohibited activities), all unpaid commissions are forfeited
  • You waive any right to compensation or damages resulting from termination

15. Non-Transferability

Your affiliate account and the rights and obligations under these Affiliate Terms are personal to you and may not be transferred, assigned, or sublicensed to any third party without the prior written consent of EC261 Claim.

16. Limitation of Liability

EC261 Claim's total liability under these Affiliate Terms shall not exceed the total commissions paid to you in the three months preceding any claim. We are not liable for any indirect, incidental, consequential, or punitive damages. EC261 Claim is not liable for temporary unavailability of the platform, tracking errors, or technical issues beyond our reasonable control.

17. Modifications

We may modify these Affiliate Terms at any time, including commission rates, payment schedules, minimum thresholds, and program rules. We will notify active Affiliates of material changes via email or through the affiliate dashboard at least 14 days before the changes take effect. Continued participation in the Program after the effective date constitutes acceptance of the modified terms. If you do not agree with the modifications, you may terminate your participation before the changes take effect.

18. Governing Law

These Affiliate Terms are governed by Dutch law. Any disputes shall be resolved by the competent courts in the Netherlands.
